POSITION OVERVIEW
We are seeking a highly energetic and experienced Senior Corporate Counsel to join our team. The ideal candidate will be responsible for managing and engaging in a wide range of legal matters, with an emphasis on commercial contracts of utility-scale energy storage and PV projects and energy financing transactions, such as tax equity and debt financing. The Senior Corporate Counsel will provide effective and practical legal advice on complex transactions, manage the legal function of the projects, and be responsible for documentation of such transactions.
RESPONSIBILITIES
- Provide effective counsel to the management and senior executives of the Company on major business transactions, including reviewing relevant legal documents, and managing renewable energy-related projects throughout their late development, construction and operation phases.
- Review, draft, and manage project contracts, including Offtake Agreements, Power Purchase Agreements (PPA), EPC Agreements, Operations & Maintenance Agreement (O&M), and Long-Term Service Agreements (LTSA), to ensure compliance and mitigate risks.
- Manage energy project M&A transactions, including due diligence, contract negotiation, and risk assessment.
- Perform and oversee complex legal services for the financing of development, acquisition, construction and operation of utility-scale energy storage and PV projects.
- Support other departments as legal lead on project and corporate financing in structuring, drafting and reviewing agreements and ancillary documents with external counsels.
- Manage and engage in a wide range of legal matters, including commercial agreements, entity formation and management, HR/employment, real estate, dispute resolution, and daily reactive and proactive legal needs, and give accurate and timely counsel to executives in a variety of legal topics.
- Research and evaluate different risk factors regarding business decisions and operation and provide an action plan.
- Participate in the drafting and development of Company policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
- Ensure compliance with applicable laws and regulations. Oversee external counsel relationships and manage legal budgets. Perform other duties and special projects, as assigned.
REQUIRED QUALIFICATIONS
- Juris Doctor (J.D.) degree and admission to practice law in at least one U.S. jurisdiction, such as New York, Texas, or California. While qualification to practice as in-house counsel in California is preferred, it’s not required.
- Experience reviewing, drafting and negotiating renewable energy project contracts (including offtake agreements, PPA, EPC contracts, O&M contracts, LTSA is required.
- General corporate law experience is required.
- Proven ability to coordinate with various internal groups, such as project, commercial, and corporate teams.
- . Demonstrated ability to meet tight deadlines while simultaneously prioritizing multiple projects.
- Exceptional communication and interpersonal skills.
- 3+ years of law firm experience preferred, particularly with a focus on renewable energy industry.
